Terms of Service

1. Acceptance of these Terms

These Terms of Service (the "Terms") form a binding agreement between you and NE Labs ("NE Labs," "we," "us," or "our") governing your access to and use of the involvve mobile application, website, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use involvve.

2. Eligibility

• You must be at least 18 years old to create or use an involvve account.
• You must have legal capacity to enter into these Terms.
• You must not be prohibited from using the Service under applicable law.
• You must provide accurate information and must not misrepresent your age, identity, or affiliation.

involvve currently relies on user-provided birth dates and does not independently verify every user's age or identity.

3. What involvve provides

involvve helps users coordinate real-world activities by creating, discovering, joining, requesting to join, and communicating with activity groups. The Service may include activity feeds, profiles, maps, group memberships, chats, notifications, attendance confirmations, reporting, blocking, and repeat-activity features.

NE Labs is a technology platform. Unless we expressly state otherwise, we do not organize, supervise, endorse, control, or guarantee user-created activities, activity hosts, participants, venues, transportation, equipment, or third-party services. Activity creators and participants are independent users, not employees, agents, or representatives of NE Labs.

4. Account registration and security

• You must register using a valid email address and create a password.
• You are responsible for activity occurring through your account and for keeping your login credentials confidential.
• You may not sell, transfer, share, or allow another person to use your account.
• You must promptly notify us if you believe your account has been compromised.
• We may require you to update inaccurate information or take reasonable steps to protect account security.

5. Profiles and identity

involvve is designed around genuine participation. You must use your real first name, a current photo that reasonably represents you, and accurate profile information. You may not impersonate another person, create deceptive profiles, or use another person's image without permission.

NE Labs does not currently conduct identity verification, criminal-background checks, or similar screening of all users. A profile, photograph, or account does not guarantee a person's identity, intentions, reliability, or safety.

6. Activity creation and participation

6.1 Activity creators

When you create an activity, you agree to:

• Provide accurate and complete information about the activity, time, location, expected conduct, group size, accessibility considerations, costs, equipment, and material risks.
• Use locations where participation is lawful and reasonably appropriate.
• Have any permission, reservation, licence, insurance, or authorization required to host the activity.
• Communicate meaningful changes or cancellations promptly.
• Treat participants fairly and follow these Terms and the Community Guidelines.

6.2 Participants

When you join or request to join an activity, you agree to:

• Review the activity information and assess whether it is appropriate for you.
• Arrive on time, communicate if your plans change, and avoid repeated no-shows.
• Follow lawful venue rules, host instructions, and reasonable safety requirements.
• Provide your own appropriate transportation, equipment, clothing, supervision, and insurance where needed.

6.3 No-shows and attendance

involvve may ask whether you attended an activity. Repeated no-shows, misleading attendance confirmations, or disruptive behaviour may reduce access to certain features, affect internal trust or reputation signals, or lead to account restrictions.

7. Safety and real-world interactions

Meeting people and participating in real-world activities involves risk. You are responsible for your own decisions, conduct, health, property, and safety. Use reasonable judgment, tell someone you trust where you are going, meet in public places when appropriate, arrange safe transportation, protect personal information, and leave or seek help if you feel unsafe.

involvve is not an emergency service and does not monitor every activity or message in real time. In an emergency, contact local emergency services or law enforcement. NE Labs does not guarantee that users will attend, behave appropriately, possess stated qualifications, or provide accurate activity information.

8. Community Guidelines and prohibited conduct

involvve has zero tolerance for objectionable content and abusive users. You must follow these standards:

8.1 Be real

Use a genuine profile and create genuine activities. Fake, deceptive, or materially misleading accounts and activities may be removed.

8.2 Be respectful

Do not harass, threaten, bully, intimidate, stalk, demean, discriminate against, or direct hate speech at another person in an activity, profile, chat, report, or other part of the Service.

8.3 Keep it safe

Do not pressure anyone to participate, meet privately, disclose personal information, consume substances, spend money, or engage in conduct they have not freely chosen. Do not disclose another person's private information without permission.

8.4 No inappropriate or illegal content

You may not upload, create, send, promote, or facilitate content or conduct that is sexual, exploitative, violent, threatening, fraudulent, illegal, hateful, abusive, or otherwise inappropriate for a social activity-coordination service.

8.5 Show up

Join activities in good faith. Repeated no-shows or intentionally disrupting activity groups may limit your access to involvve.

8.6 Additional prohibited conduct

• Spam, unauthorized advertising, scams, pyramid schemes, or unsolicited commercial messages.
• Soliciting money or sensitive information through deception or coercion.
• Infringing intellectual-property, privacy, publicity, or other rights.
• Uploading malware, attempting unauthorized access, scraping, reverse engineering, interfering with security, or overloading the Service.
• Using automated accounts, bots, or scripts without written permission.
• Creating an account after suspension or helping another person evade enforcement.
• Using involvve to arrange unlawful transactions, dangerous misconduct, or activities that violate venue rules or third-party rights.

9. User content

9.1 Ownership

You retain ownership of content you submit, including profile information, photos, activity listings, descriptions, and messages ("User Content"). You are responsible for User Content and must have the rights and permissions needed to submit it.

9.2 Licence to NE Labs

You grant NE Labs a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, format, transmit, display, and otherwise use your User Content only as reasonably necessary to operate, secure, improve, and provide the Service. This licence ends when the content is deleted from active systems, except where continued retention is legally permitted or technically necessary for limited backups, safety records, dispute resolution, or content another user must retain as part of a shared activity.

9.3 Public and group visibility

Profile photos and activity content may be visible broadly within the Service. Activity chats are intended for active members of the relevant activity, but recipients may copy or share what they receive. Do not post content you cannot safely disclose to its intended audience.

9.4 Moderation rights

We may review, restrict, remove, preserve, or disclose User Content when reasonably necessary to operate the Service, enforce these Terms, address reports, comply with law, or protect users. We are not required to pre-screen all content and do not guarantee that all objectionable content will be identified immediately.

10. Reports, blocking, and enforcement

Users can report and block other users or activities. Blocking may hide activities and messages in both directions and prevent users from joining each other's activities.

Reports are reviewed as promptly as reasonably possible. Review does not guarantee final resolution, removal, or another specific outcome.

We may warn, restrict, suspend, remove content from, or terminate accounts based on reported conduct, observed conduct, risk, repeated no-shows, or violations of these Terms. We may act without advance notice where reasonably necessary for safety, security, legal compliance, or platform integrity.

11. Location, maps, and venue information

The Service may use device location and Google Places or Google Maps to suggest, search for, and display activity locations. Map data, directions, venue details, distances, and pins may be incomplete or inaccurate. Confirm the correct location and conditions independently before travelling or participating.

12. Notifications and communications

With your permission, involvve may send push notifications about activities, memberships, messages, reminders, changes, attendance, safety, and repeat invitations. You can disable push notifications in your device settings. We may still send necessary service, account, legal, or security communications by email or through the app.

13. Third-party services

The Service relies on or may link to third-party services, including Supabase, Expo, Google Maps/Places, PostHog, app stores, venues, and external websites. Third-party services are governed by their own terms and policies. NE Labs is not responsible for third-party products, venues, content, availability, conduct, or services except to the extent required by law.

14. No payments at this time

involvve does not currently process deposits, subscriptions, in-app purchases, or other payments. If paid features are introduced, NE Labs will provide additional payment terms and update these Terms before those features become available.

15. NE Labs intellectual property

The Service, including its software, design, branding, logos, interface, text created by NE Labs, and underlying technology, is owned by or licensed to NE Labs and protected by intellectual-property laws. Subject to these Terms, NE Labs grants you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purposes. No other rights are granted.

16. Feedback

You may send ideas or feedback voluntarily. You grant NE Labs permission to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.

17. Suspension, termination, and account deletion

• You may stop using involvve at any time and permanently delete your account in Settings.
• Account deletion is immediate and irreversible. Where you created an activity, ownership may transfer to another active member or the activity may be deleted if no active member remains.
• We may suspend or terminate access, restrict features, remove content, or preserve records when reasonably necessary to enforce these Terms, protect users, comply with law, investigate abuse, or maintain the Service.
• Provisions that by their nature should survive termination will survive, including ownership, licence limitations, disclaimers, liability limits, indemnity, dispute provisions, and general terms.

18. Changes to the Service

We may add, change, suspend, or discontinue features. We do not guarantee that any feature, activity, message, content, or account data will remain available forever. Where required by law, we will provide notice before materially reducing a paid service; involvve currently has no paid service.

19. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." NE LABS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

NE LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS; THAT USERS, ACTIVITIES, LOCATIONS, OR CONTENT ARE SAFE, ACCURATE, AUTHENTIC, OR SUITABLE; OR THAT ANY ACTIVITY WILL OCCUR, BE ATTENDED, OR PRODUCE A PARTICULAR RESULT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

20. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NE LABS AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY; OR PERSONAL INJURY, PROPERTY DAMAGE, OR LOSS ARISING FROM USER CONDUCT, ACTIVITIES, VENUES, TRANSPORTATION, OR THIRD PARTIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF NE LABS FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED CAD $100, OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER. THIS LIMIT DOES NOT APPLY WHERE LIABILITY CANNOT LEGALLY BE LIMITED, INCLUDING RIGHTS AVAILABLE UNDER MANDATORY CONSUMER-PROTECTION LAW.

21. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless NE Labs and its owners, directors, officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable legal fees arising from your User Content, activities you create or host, your conduct, your violation of these Terms, or your infringement of another person's rights. This section does not require indemnification to the extent prohibited by applicable consumer law.

22. Governing law and disputes

These Terms and any dispute relating to them or the Service are governed by the laws of Alberta, Canada, without regard to conflict-of-law rules. Subject to mandatory consumer rights and any agreed alternative dispute process, the parties submit to the exclusive jurisdiction of the courts of Alberta, Canada.

23. Changes to these Terms

We may update these Terms as the Service, our practices, or applicable law changes. We will post the revised Terms and update the effective date. Where required, we will provide additional notice. Continuing to use the Service after revised Terms take effect means you accept them, except where law requires a different form of consent.

24. General terms

• These Terms, the Privacy Policy, and any incorporated Community Guidelines form the entire agreement between you and NE Labs concerning the Service.
• If a provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective.
• A failure to enforce a provision is not a waiver.
• You may not assign these Terms without our written consent. NE Labs may assign them in connection with a merger, financing, restructuring, acquisition, sale of assets, or by operation of law.
• Section headings are for convenience only.
• Nothing in these Terms limits non-waivable consumer rights available under applicable law.
